English summary: In German civil procedure, the summons ( Beiladung ) as a form of the participation of a third party is virtually unknown. Since 2005 however, section 148 of the German Stock Corporation Act does provide for a summons to certain third parties in the case of a certain procedure in which shareholders sue in their own name for compensation for their stock corporation - without any further definition of the meaning of this summons. Christian Mencke investigates and clarifies the meaning. German description: Aktionare haben seit 2005 unter bestimmten Voraussetzungen die Moglichkeit, Ersatzanspruche ihrer AG gegen Organmitglieder im eigenen Namen klageweise geltend zu machen. 148 AktG gestaltet dieses Klageverfahren naher aus: Unter anderem ist eine Beiladung der AG zum Klageverfahren der Aktionare vorgesehen; umgekehrt sind diese Aktionare ihrerseits zum Klageverfahren nach einer (moglichen) Ubernahme durch die AG beizuladen. Dem Zivilprozess ist die aus den offentlich-rechtlichen Verfahrensordnungen bekannte Drittbeteiligungsform der Beiladung weitgehend fremd. Gleichwohl schweigt das Gesetz dazu, was unter der Beiladung gem. 148 AktG zu verstehen ist. Christian Mencke stellt zunachst die bisherigen - seltenen und uneinheitlichen - Beiladungsfalle im Zivilprozess sowie die offentlich-rechtliche Beiladung detailliert dar. Er weist sodann nach, dass die Beiladung gem. 148 AktG eine eigenstandige Rechtsfigur ist, die in keiner der bisherigen Beiladungsfalle ein direktes Vorbild hat.
